Terms of Service

1. ACCEPTANCE OF TERMS

These Terms of Service ("Terms") govern your access to and use of the CronosWorks application and services (collectively, the "Service"), operated by Dakota Wheatley, a sole proprietorship based in Alberta, Canada ("we," "our," or "us").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or organization, you represent that you have the authority to bind that entity.

If you do not agree, you may not access or use the Service.

2. DESCRIPTION OF SERVICE

CronosWorks provides cloud-based software tools designed for organizations in the family and youth support, community services, and related sectors, including:

3. USER ACCOUNTS AND REGISTRATION

You must register for an account to use the Service. You agree to:

You agree to use the Service only for lawful purposes and in compliance with all applicable laws, including data protection and confidentiality laws.

5. DATA AND PRIVACY

Your use of the Service is governed by our Privacy Policy and, where applicable, a Data Processing Agreement (DPA) between us and your organization.

For most organizational data (timesheets, case notes, reports, etc.), CronosWorks acts as a Data Processor and your organization is the Data Controller.

We process such data solely according to your organization's lawful instructions and applicable privacy laws (PIPEDA, PIPA, GDPR, and CCPA, as relevant).

You retain ownership of all data you input into the Service.

6. PAYMENT TERMS

Certain features of the Service are offered on a paid subscription basis.

We reserve the right to change pricing with reasonable prior notice.

7. INTELLECTUAL PROPERTY

All intellectual property rights in the Service, including software, design, trademarks, and content, are owned or licensed by Dakota Wheatley (CronosWorks).

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for internal business purposes, subject to these Terms.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

We may modify these Terms from time to time. Material changes will be communicated via email or in-app notification. Your continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms.

13. GOVERNING LAW

These Terms and any related disputes are governed by the laws of the Province of Alberta and the federal laws of Canada, without regard to conflict of law principles.

14. DISPUTE RESOLUTION

Any dispute arising under or relating to these Terms shall be resolved by binding arbitration seated in Alberta, Canada, conducted in English, in accordance with the rules of the ADR Institute of Canada (ADRIC).

Judgment on the arbitration award may be entered in any court with jurisdiction.

15. SEVERABILITY

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16. ENTIRE AGREEMENT

These Terms, along with our Privacy Policy and any applicable DPA, constitute the entire agreement between you and Dakota Wheatley (CronosWorks) concerning your use of the Service, superseding all prior agreements or understandings.
